IMPORTANT: These Seller Terms and Conditions are subject to updates. Please review them regularly.

1. Acceptance of the Seller Terms and Conditions

These Seller Terms and Conditions (the “Seller Terms”) apply to all Users who use the EverLuvd mobile application and related services (collectively, the “Platform” or “Services”) to sell Products (each such User, a “Seller”). Capitalized terms not defined herein have the meanings set forth in the EverLuvd Platform Terms of Use, which apply to all Users.

These Seller Terms are a legally binding contract entered into by and between you (the “Seller” and “User”) and EverLuvd, a company incorporated in the Kingdom of Saudi Arabia, with its registered address at Riyadh, Kingdom of Saudi Arabia and Commercial Registration No. 7051745714 (“EverLuvd”, “we”, “us” or “our”). EverLuvd is the owner and operator of the EverLuvd mobile application.

YOU MUST BE AT LEAST 18 YEARS OF AGE TO ENTER INTO ANY TRANSACTION ON THE PLATFORM. THIS PLATFORM IS NOT DIRECTED TO, AND SHOULD NOT BE ACCESSED BY, CHILDREN UNDER 13 YEARS OF AGE.

These Seller Terms may be completed by other specific terms or policies made available on the Platform, which shall be deemed incorporated by reference. The Platform Terms of Use apply to all Users. Should any conflict arise between these Seller Terms and any FAQ section on the Platform, these Seller Terms shall be controlling.

Your use of the Platform and Services is also governed by the EverLuvd [Privacy Policy & Cookies Policy]([PLACEHOLDER: Link to your Privacy Policy]).

By listing a Product for sale on our Platform, you accept and agree to be bound and abide by these Seller Terms. If you do not agree to these Seller Terms, you must not list for sale any Products on our Platform.

2. Changes to the Seller Terms

We may revise and update these Seller Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Platform following the posting of revised Seller Terms means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

3. The Role and Responsibility of EverLuvd

Users acknowledge that EverLuvd acts as an intermediation platform to facilitate the sale of used fancy dresses (“Products”) between Sellers and Buyers. EverLuvd’s role includes collecting Products from Sellers, conducting a verification and authenticity check, assigning an EverLuvd authenticity tag, and publishing the Product listing on the Platform.

EverLuvd is not a reseller of the Products (unless explicitly stated for specific items EverLuvd may own) and does not become the owner of the Seller’s Products, which are sold on a consignment basis. Each User acts on their own behalf. EverLuvd is not a party to the contract of sale between a Buyer and Seller and disclaims liability for such contracts, except as expressly stated herein regarding its verification and Platform services.

EverLuvd’s verification relates to the apparent condition and authenticity of the Product based on its expertise and the information provided by the Seller, against the Seller's description. It does not guarantee that a Buyer will find the Product satisfactory beyond this verification.

Sellers are primarily responsible for claims regarding the initial information they provided about the Product. EverLuvd will manage claims related to its verification process and services.

4. Sale of Products

4.1. Seller Authorization

By submitting a Product to EverLuvd for sale on the Platform, the Seller authorizes EverLuvd to:

• Collect the Product from the Seller.
• Conduct verification checks for condition and authenticity.
• Assign an EverLuvd authenticity tag to verified Products.
• Create and publish the Product page on the Platform, including descriptions and photographs (which EverLuvd may edit or enhance, e.g., by standardizing backgrounds). This listing constitutes an offer by the Seller to sell the Product.
• Manage the sale process, including accepting "buy outright" orders or managing bids submitted by Buyers.
• Facilitate the Buyer’s approval or rejection of bids, as applicable to the Platform’s functionality.
• Receive payments from Buyers.
• Transfer amounts due to the Seller after deducting applicable Seller Fees and other dues as per these Seller Terms.

4.2. Product Submission and Listing Creation

4.2.1. Product Information & Condition: The Seller must provide an accurate and honest description of the Product, including brand, size, material, original purchase details (if known), any alterations, wear, damage, or specific characteristics a Buyer would reasonably want to know. The Product must be clean and in a condition suitable for resale as a "fancy dress." The minimum Price for a Product shall be 100 SAR. Product prices will be determined in consultation with EverLuvd based on condition, brand, market value, and the Seller’s input, before being listed. Additional Costs for the Buyer (like shipping, VAT) will be indicated separately at checkout. Sellers warrant that Products are available for sale once submitted to EverLuvd and listed.

4.2.2. EverLuvd’s Review and Listing: All Products submitted are subject to EverLuvd’s review, verification, and authentication process. EverLuvd has the right to accept or reject any Product for listing in its sole discretion (e.g., if it fails verification, is not a "fancy dress" as defined by EverLuvd, or is in unsuitable condition). EverLuvd will inform the Seller of the outcome of the verification and the proposed listing price (or price range for bidding). EverLuvd may suggest Price adjustments. The final listing Price and terms (e.g., "buy outright" price, minimum bid) will be confirmed with the Seller before publication where feasible, or as per EverLuvd's standard pricing policy for consigned items.

5. "Buy Outright" or "Submit a Bid" Functionality

Buyers may purchase a Product outright at the listed price or, if applicable, submit a bid. If a bidding option is available for a Product:

• Bids are submitted by Buyers through the Platform.
• The Seller will be notified of bids and will have the option to approve or reject bids according to the rules and timelines set by EverLuvd on the Platform.
• EverLuvd may set parameters for bidding (e.g., minimum bid increments, bid duration).
• A bid, if accepted by the Seller (and confirmed by EverLuvd), forms a binding commitment for the Buyer to purchase.

6. EverLuvd’s Verification and Authenticity Tag

EverLuvd will inspect Products for conformity with the Seller’s initial description and for authenticity according to EverLuvd’s standards. If a Product fails verification (e.g., condition misrepresented, authenticity concerns):

• EverLuvd will notify the Seller.
• EverLuvd may decline to list the Product.
• If a Product is found to be non-compliant after collection, EverLuvd will charge the Seller a fee of 100 SAR to cover the logistics and verification processing costs.
• Counterfeit Products will NOT be returned to the Seller and may be reported to relevant authorities or destroyed, in accordance with Saudi law and EverLuvd policy. The Seller will be liable for any costs or damages arising from attempting to sell counterfeit goods.

7. The Seller’s Commitments and Obligations

All Sellers warrant that:

• They are the sole owner of the Products or are duly authorized to sell them on behalf of the owner.
• The origin, condition, and characteristics of the Product comply with the information provided to EverLuvd.
• The Product is authentic and not counterfeit.
• The sale of the Product does not violate any applicable laws or regulations in Saudi Arabia (e.g., items made from prohibited materials, stolen goods) or infringe third-party rights.
• They will provide EverLuvd with all necessary documents to prove ownership or authenticity upon request.
• They will not attempt to sell prototypes, uniforms, or other items whose resale is restricted, without explicit authorization from the rights holder and EverLuvd.
• Once a Product is submitted and accepted by EverLuvd for listing, the Seller commits to completing the sale if a Buyer purchases it outright or if an accepted bid is made.

8. Seller Fees

EverLuvd’s services are compensated by a Selling Fee and a Payment Processing Fee, which are deducted from the final sale Price of the Product paid by the Buyer. Our fee structure is designed to be highly competitive to maximize your earnings.

The applicable fee scale is as follows:

Example 1 (Low-Value Item):

• Your item sells for 250 SAR.
• Your total fee is a fixed 50 SAR.
• Your Payout: 200 SAR.

Example 2 (High-Value Item):

• Your item sells for 1,000 SAR.
• Your total fee is 15% (12% + 3%) = 150 SAR.
• Your Payout: 850 SAR.

EverLuvd reserves the right to modify this fee scale or offer promotional rates. Any changes will be effective upon publication on the Platform and will apply to Products listed thereafter.

These Seller Fees primarily cover EverLuvd's services for item collection, verification, listing creation, and marketing.

9. Sales of Products and Payments due to the Seller

9.1. Order Processing and Verification

All Buyer orders are subject to fraud prevention checks. EverLuvd may contact Buyers to confirm orders. EverLuvd reserves the right to cancel any order if fraud is suspected, even after initial confirmation.

9.2. Shipping to Buyers

Once a Product is sold (either through outright purchase or accepted bid) and payment is confirmed, EverLuvd will handle the shipping of the verified and tagged Product to the Buyer. Sellers are not directly involved in shipping to Buyers.

9.3. Condition of Products for Collection

Sellers must ensure Products submitted to EverLuvd are perfectly clean and in the agreed-upon condition. EverLuvd may charge a reasonable fee for necessary cleaning if a Product is received in a state requiring it, or refuse the item.

9.4. Payment to the Seller

Net proceeds (Sale Price minus Seller Fees and any other applicable deductions like return shipping fees for failed verification, or cleaning fees) will be transferred to the Seller by EverLuvd. Payment will typically be processed within 5 business days after:

• The Buyer has received the Product, AND
• The Buyer’s return/claim period (as defined in Buyer T&Cs and Saudi Consumer Protection Law) has expired without a valid claim related to authenticity or significant misdescription not caught by EverLuvd.

Payments will be made to the bank account or payment details provided by the Seller in their EverLuvd account via Bank account transfer using an IBAN. The Seller is responsible for the accuracy of these details. EverLuvd may temporarily block payouts if an account is under investigation for fraud or breach of these terms. If a Seller owes EverLuvd any amount, EverLuvd may offset this against pending payouts.

10. Handling of Counterfeit Products or Products Whose Sale is Prohibited

EverLuvd is committed to preventing the sale of counterfeit goods. If a Product is suspected or determined to be counterfeit or prohibited:

• It will be immediately removed from sale (if listed).
• The Seller’s account may be suspended or permanently terminated.
• The Product will NOT be returned to the Seller and may be seized by authorities or destroyed.
• The Seller will be liable for any costs, damages, or losses incurred by EverLuvd or the Buyer. This includes refunding EverLuvd for any amounts already paid out for such an item and compensating EverLuvd for any related expenses. Sellers represent they are selling genuine items. Counterfeiting is illegal in Saudi Arabia and subject to severe penalties.

11. Transfer of Ownership and Risk (Buyer Side)

Ownership of the Product transfers to the Buyer upon full payment and successful delivery. Risk of loss or damage transfers to the Buyer upon receipt. (This section mainly concerns the Buyer but is relevant for sellers to understand the process).

12. Claims, Returns, and Seller Obligations

If a Buyer raises a valid claim regarding authenticity or a significant misrepresentation of the Product by the Seller (that was not ascertainable during EverLuvd's verification), or if a Product is returned under applicable Saudi Consumer Protection Law due to a fault attributable to the Seller:

• The Seller must reimburse EverLuvd for any amounts refunded to the Buyer, including shipping costs, if EverLuvd has already paid the Seller.
• EverLuvd may deduct such amounts from future Seller payouts.
• Repeated issues with a Seller’s Products may lead to account suspension or termination.

13. Seller Rating (If Implemented)

EverLuvd may implement a Seller rating system. This will be based on the buyers feedback and quality of the products sold (solely based on the buyers discretion).

14. Tax Obligations

Sellers are solely responsible for understanding and complying with their tax obligations in Saudi Arabia (e.g., related to income generated from sales). EverLuvd is not responsible for advising on, collecting, or remitting taxes on behalf of Sellers, except as may be strictly required by Saudi law for EverLuvd’s own services (VAT on EverLuvd’s fees).

15. Duration and Validity

These Seller Terms govern your activity from the moment you accept them by listing (or submitting for listing) a Product. EverLuvd may modify these terms, with changes effective upon posting.

16. Interruption of Service and Termination

EverLuvd may temporarily suspend or permanently terminate a User's access to the Services for non-compliance with these Seller Terms (e.g., repeated attempts to sell non-authentic items, non-payment of dues, fraudulent activity). EverLuvd will notify the User. Termination does not waive EverLuvd’s right to claim for damages.

17. Consequences of Impossibility to Return Products to Sellers (e.g., failed verification)

If EverLuvd attempts to return a non-compliant/rejected Product to a Seller (after payment of the return fee by the Seller) and the return is unsuccessful (e.g., incorrect address, Seller non-acceptance), EverLuvd will notify the Seller. The Product will be held for 1 month. If unclaimed, EverLuvd may dispose of the Product (e.g., donate to charity if appropriate, or destroy if counterfeit).

19. Mediation and Dispute Resolution

In case of a dispute between a Seller and EverLuvd, both parties agree to first attempt to resolve it amicably. If an amicable resolution is not reached within 30 days, the dispute shall be referred to the competent authorities or courts in Saudi Arabia.

20. Applicable Law and Jurisdiction

These Seller Terms are governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising out of or in connection with these Seller Terms shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Kingdom of Saudi Arabia. To the fullest extent permitted by law, you waive your right to participate in any class action or other representative action.
